What This Means (2025 FDD)
Based on the 2025 Carvel Franchise Disclosure Document, a franchisee's ability to leverage vendor relationships established through the franchise for outside purposes is restricted. The agreement specifies that franchisees cannot offer for sale, sell, supply for resale, or deliver any goods to a third party other than the ultimate consumer at the Franchised Business without prior written consent from Carvel. This indicates that vendor relationships and resources provided through the franchise are intended solely for the operation of the Carvel store itself.
Furthermore, the FDD states that franchisees cannot sell any goods through the Internet or any other distribution channel other than their Franchised Business unless expressly permitted in writing by Carvel. Franchisees are also prohibited from using the Franchised Business or its premises to produce or sell any goods, products, or services other than Approved Products sold using the Carvel Marks. This includes a specific prohibition against operating a ghost kitchen or delivery business selling goods, products, or services under another brand from the Carvel location.
These restrictions are typical in franchising to protect the brand's integrity, maintain quality control, and ensure a consistent customer experience across all locations. By limiting the franchisee's ability to use vendor relationships and the Carvel premises for other business ventures, Carvel aims to prevent potential conflicts of interest and maintain focus on the Carvel business. A prospective franchisee should carefully consider these limitations and discuss any potential external business interests with Carvel during the due diligence process to ensure compliance with the franchise agreement.
