What This Means (2025 FDD)

According to Carvel's 2025 Franchise Disclosure Document, a franchisee is required to have a point of sale system, or POS System, that meets Carvel's minimum specifications. The franchisee must obtain support for the POS System from an approved supplier, which may include Carvel or its affiliates. Carvel or its affiliates may provide the franchisee with project management assistance related to the computer system, back office and polling services, required modifications and enhancements to the computer system, and other maintenance and support programs. Carvel may require the franchisee to enter into agreements with, and pay a reasonable fee to, Carvel, its affiliates, or approved suppliers for such services.

The POS System support services are detailed in the POS System Support Services Agreement. The support services may only be used for the POS System at the franchised business. The franchisee must follow the procedures and processes for requesting and receiving support services as set forth in the agreement, including Schedule A. The support services will be provided during the hours and days specified in Schedule A.

The franchisee will receive comprehensive support, which is subject to the Comprehensive Support Fee, as defined in Schedule A. The franchisee may request, and Carvel may, in its sole discretion, provide billable support, which is subject to the Billable Support Fee. As a prerequisite for Carvel to provide the support services, the POS System must be in good operating condition and meet the minimum specifications. The support services do not include support for hardware and software that is not part of the minimum specifications. Carvel will provide support services in connection with specific versions of the software identified in the minimum specifications and will not provide support services in connection with software that is no longer supported by the software licensor.
