Is a Carvel franchisee entitled to the same variations to the standards that are granted to other franchisees?

- 8.4 Variances. You agree that complete uniformity under many varying geographic and other conditions, and over extended spans of time, is not practical and may be detrimental to the System, and that as a result: (i) we may vary the Standards for any franchisee as we deem necessary; (ii) we may grant franchises using the System under terms that may differ materially from the terms of this Agreement; and (iii) our obligations and rights with respect to our various franchisees may differ materially from our obligations and rights with respect to you, without in any way affecting our rights with respect to you. You will have no right to require that we disclose any variation to you or that we grant you the same or a similar variation.

What This Means (2025 FDD)
According to Carvel's 2025 Franchise Disclosure Document, Carvel may implement different standards for different franchisees. Carvel acknowledges that complete uniformity across all locations may not be practical due to varying geographic and other conditions. As a result, Carvel may vary the standards for any franchisee as it deems necessary.
Furthermore, Carvel may grant franchises under terms that differ materially from the standard agreement. The document specifies that Carvel's obligations and rights with respect to its various franchisees may also differ significantly without affecting Carvel's rights with respect to an individual franchisee.
Importantly, a Carvel franchisee has no right to demand disclosure of any variations granted to other franchisees, nor can they require Carvel to grant them the same or similar variations. This clause provides Carvel with significant flexibility in adapting its franchise system to different market conditions or individual franchisee circumstances, but it also means that franchisees may not be treated equally in all respects.
