What This Means (2025 FDD)

According to Carvel's 2025 Franchise Disclosure Document, a franchisee must deliver a copy of the signed lease, sublease, or other rental agreement (referred to as the "Lease") or the purchase agreement for the location (referred to as the "Purchase Agreement," and collectively with the Lease, the "Site Agreement") to Carvel. This Site Agreement must include all material terms specified within it.

The franchisee is solely responsible for negotiating the terms of the Site Agreement and for fulfilling their obligations under it. Carvel retains the right, but not the obligation, to review the Site Agreement before it is executed to ensure that it complies with Carvel's requirements.

While the FDD specifies that the Site Agreement must be delivered to Carvel with all material terms, it does not specify a deadline for when this must occur. A prospective franchisee should clarify the exact deadline for submitting the Site Agreement with Carvel, as failure to meet deadlines can result in termination of the Franchise Agreement.
