What factors significantly affect the retail food service business for Carvel franchisees?

Carvel Franchise · 2025 FDD

Answer from 2025 FDD Document

The retail food service business is highly competitive with respect to concept, price, location, food quality, and service. The business is often affected by economic and real estate conditions, political conditions, consumer tastes, population changes, the cost and availability of products and qualified labor, and traffic patterns. There also is significant competition for suitable commercial real estate sites and personnel, including management personnel.

You may also compete with the distribution and sale of Carvel® branded products through other outlets and sales channels. We may sell, or license affiliates or third parties to sell, Carvel® branded products (including products that you are likely to sell in your Shoppe) (i) at wholesale to restaurants and retail stores (including grocery stores, convenience stores, club stores, and other outlets) that may be located anywhere, (ii) through non-traditional outlets, (iii) through mail order and Internet sales, (iv) through ghost or delivery kitchens, or (v) through other company-owned or franchised Shoppes. You will not be entitled to additional rights or compensation in any of these cases. See Item 12 for details regarding our reserved rights.

What This Means (2025 FDD)

According to Carvel's 2025 Franchise Disclosure Document, several factors significantly impact the retail food service business for its franchisees. These include competition based on concept, price, location, food quality, and service. The ice cream and frozen dessert market is intensely competitive and rapidly changing, with local, regional, and national competitors, including supermarkets, convenience stores, restaurants, and other ice cream and frozen dessert retail stores. Demand for Carvel products also fluctuates significantly throughout the year, with Shoppes operating year-round.

Economic and real estate conditions play a crucial role, as do political conditions and shifting consumer tastes. Population changes, the cost and availability of products and qualified labor, and traffic patterns also affect the business. Securing suitable commercial real estate sites and qualified personnel, including management, is highly competitive. These factors can influence the profitability and operational success of a Carvel franchise.

Furthermore, Carvel franchisees face competition from the distribution and sale of Carvel-branded products through other outlets and sales channels. Carvel may sell or license affiliates or third parties to sell Carvel products at wholesale to restaurants and retail stores, through non-traditional outlets, via mail order and Internet sales, through ghost or delivery kitchens, or through other company-owned or franchised Shoppes. Franchisees are not entitled to additional rights or compensation in these instances, which could impact their sales and market share.
