What This Means (2025 FDD)

According to Carvel's 2025 Franchise Disclosure Document, Item 3 clarifies what legal actions must be disclosed. Specifically, it states that Carvel does not have to disclose pending actions that qualify as 'routine litigation incidental to the business.' However, this exception only applies if these actions are not significant when considering the number of franchisees, the size, nature, or financial condition of the Carvel franchise system or its business operations.

In practical terms, this means Carvel is not obligated to report every minor legal dispute. For example, a slip-and-fall case at one Carvel location might be considered routine litigation. However, if Carvel faces a large number of similar lawsuits or a lawsuit that could significantly impact the brand's finances, they would be required to disclose it.

For a prospective franchisee, this distinction is important. While Carvel is not required to disclose every minor legal issue, significant or numerous legal challenges could indicate underlying problems with the franchise system. Therefore, it is crucial for potential franchisees to understand the scope and nature of any litigation Carvel is involved in, especially those that could affect the franchisee's investment or the overall stability of the Carvel brand.
