ferred to as a "Co-Branded Shoppe") is a Full Shoppe where you produce and sell a range of Carvel products in conjunction with those products authorized to be sold under the Cinnabon® franchise system. In order to operate a Cinnabon Co-Branded Shoppe, you must (i) purchase a Carvel® franchise from us, sign a Franchise Agreement with us, and sign the Cinnabon Co-Branded Shoppe Schedule, which is attached as Exhibit C to this Disclosure Document (the "Co-Branded Shoppe Schedule") and (ii) purchase a Cinnabon® franchise from Cinnabon and sign a Cinnabon® franchise agreement and co-branded schedule with Cinnabon. The terms of the Cinnabon® franchise offering, franchise agreement, and related agreements that Cinnabon will require you to sign are disclosed in the Cinnabon® Disclosure Document, which you must obtain from Cinnabon.

What This Means (2025 FDD)
According to Carvel's 2025 Franchise Disclosure Document, the Cinnabon Co-Branded Shoppe Schedule is attached as Exhibit C to the document. This schedule is a requirement for franchisees who wish to operate a Cinnabon Co-Branded Shoppe, which is a full Carvel Shoppe that also sells Cinnabon products. To operate this type of co-branded location, a franchisee must not only purchase a Carvel franchise and sign the associated Franchise Agreement and Co-Branded Shoppe Schedule with Carvel, but also purchase a Cinnabon franchise and sign their franchise agreement and co-branded schedule with Cinnabon.
Similarly, the Swirl Shoppe Schedule is also attached as Exhibit C to the 2025 Disclosure Document. A Swirl Shoppe is a type of Co-Branded Shoppe that operates under the Cinnabon Swirl™ mark and offers a menu combining both Carvel and Cinnabon products. Like the Cinnabon Co-Branded Shoppe, operating a Swirl Shoppe requires purchasing both a Carvel and a Cinnabon franchise, and signing the respective franchise agreements and schedules with each franchisor.
For a prospective Carvel franchisee, this means that if they are interested in opening a co-branded location with Cinnabon, they will need to review Exhibit C of the FDD to understand the specific obligations and requirements outlined in the Co-Branded Shoppe Schedule or Swirl Shoppe Schedule. Additionally, they must also obtain and review the Cinnabon Disclosure Document to fully understand the terms of the Cinnabon franchise. Carvel will not grant the right to operate a Co-Branded Shoppe unless Cinnabon agrees to offer a Cinnabon franchise and permit its operation at a co-branded location.
