Answer from 2025 FDD Document

Each article, paragraph, subparagraph, term and condition of this Agreement, and any portions thereof, will be considered severable.

If, for any reason, any portion of this Agreement is determined to be invalid, contrary to, or in conflict with, any applicable present or future law, rule or regulation in a final, unappealable ruling issued by any court, agency or tribunal with valid jurisdiction in a proceeding to which CJR is a party, that ruling will not impair the operation of, or have any other effect upon, any other portions of this Agreement; all of which will remain binding on the parties and continue to be given full force and effect.

What This Means (2025 FDD)

According to the 2025 Carls Jr. Franchise Disclosure Document, the franchise agreement can be amended if any portion of the agreement is determined to be invalid, contrary to, or in conflict with any applicable present or future law, rule, or regulation. This determination must be made in a final, unappealable ruling issued by a court, agency, or tribunal with valid jurisdiction in a proceeding to which Carls Jr. is a party.

In practical terms, this means that if a specific clause or section of the Carls Jr. franchise agreement is found to be illegal or unenforceable under existing or future laws, that particular portion will be severed from the agreement. However, this ruling will not affect the validity or enforceability of the remaining parts of the agreement, ensuring that the rest of the contract remains in full force and effect.

This provision protects both the franchisee and Carls Jr. by ensuring that the entire agreement does not become void due to a single legal conflict. It allows the franchise relationship to continue under the remaining valid terms, providing stability and reducing the risk of complete contract failure due to unforeseen legal challenges. Franchisees should be aware of this clause as it clarifies how legal changes could impact their franchise agreement with Carls Jr.
