What This Means (2025 FDD)

According to the 2025 Carls Jr. Franchise Disclosure Document, the Development Agreement Addendum's provisions become effective when the addendum is integrated into the Development Agreement. Specifically, this occurs when (A) the offer or sale of a franchise to the Developer was made in California, (B) the Developer is a resident of California, or (C) some or all of the Development Territory is situated in California. This ensures that the addendum, which modifies the original agreement, is legally binding and applicable under these specific conditions.

For a prospective Carls Jr. developer, this means that the California-specific addendum will only apply if they meet at least one of the listed criteria related to residency, location of the territory, or where the franchise offer was made. This addendum likely contains clauses that address specific legal requirements or business practices unique to California, providing additional clarity and protection for both the franchisor and the developer within that state.

It is important for potential Carls Jr. developers to carefully review any addenda to understand how they modify the original Development Agreement, especially concerning legal and operational requirements specific to their region. Understanding these conditions ensures compliance and can help in making informed business decisions.
