The OPM contains detailed standards, specifications, instructions, requirements, methods and procedures for management and operation of the Franchised Restaurant. The OPM also may relate to the selection, purchase, storage, preparation, packaging, ingredients, recipes, service and sale of all products and beverages sold at the Franchised Restaurant; management and employee training; marketing, advertising and sales promotions; maintenance and repair of the Franchised Restaurant building, grounds, equipment, graphics, signs, interior and exterior decor items, fixtures and furnishings; employee dress attire and appearance standards; menu concept and graphics; and accounting, bookkeeping, records retention and other business systems, procedures, operations and brand standards. Franchisee agrees at all times to operate the Franchised Restaurant in strict conformity with the OPM; to maintain the OPM at the Franchised Restaurant; to not reproduce the OPM or any part of it; and to treat the OPM as confidential and proprietary, and; to disclose the contents of the OPM only to those employees of Franchisee who have a need to know.
Even though this Agreement contains provisions requiring Franchisee to operate the Franchised Restaurant in compliance with the System: (1) CJR and its affiliates do not have actual or apparent authority to control the day-to-day conduct and operation of Franchisee's business or employment decisions; and (2) Franchisee and CJR do not intend for CJR or its affiliates to incur any liability in connection with or arising from any aspect of the System or Franchisee's use of the System, whether or not in accordance with the requirements of the OPM.

According to the 2025 Carls Jr. Franchise Disclosure Document, the Operations Procedures Manual (OPM) and other written communications contain the detailed standards and specifications for managing and operating a Carls Jr. restaurant. These materials cover a wide array of operational aspects, ensuring consistency and adherence to the Carls Jr. system. The OPM remains the property of CJR and franchisees are granted electronic access to it. Carls Jr. reserves the right to revise the OPM and franchisees must comply with each change.
The standards and specifications outlined in the OPM and other communications encompass various elements critical to the operation of the franchise. These include the type, quality, taste, weight, dimensions, ingredients, and preparation methods for all food and beverage products. They also cover sales and marketing procedures, customer service protocols, advertising and promotional programs, and the layout, decor, and color scheme of the restaurant. Employee appearance and dress standards, as well as safety, maintenance, cleanliness, and sanitation standards, are also detailed.
Furthermore, the OPM addresses the use of signs, posters, displays, and standard formats, as well as the types of fixtures, furnishings, equipment, and packaging to be used. It also specifies the make, type, location, and decibel level of any game, entertainment, or vending machines. Franchisees are required to operate in strict conformity with the OPM, maintain the OPM at the restaurant, and treat it as confidential and proprietary, disclosing its contents only to employees with a need to know. Carls Jr. also has the right to inspect the restaurant at any reasonable time without prior notice to ensure compliance with all specifications, quality standards, operating procedures and brand standards.
