Carls_Jr Franchise · 2025 FDDAnswer from 2025 FDD Document
- A. As a result of the expenditure of time, skill, effort and money, CJR and its predecessor have developed, and CJR owns, a unique and distinctive system ("Carl's Jr. System") relating to the development, establishment and operation of quick service restaurants ("Carl's Jr. Restaurants").
- B. The Carl's Jr. System is identified by means of certain trade names, trademarks, service marks, trade dress, logos, insignias, slogans, emblems, symbols, designs, and any combination thereof or any other indicia of source (collectively "Proprietary Marks") which CJR owns and which CJR has designated or may in the future designate for use with the Carl's Jr. System. The Proprietary Marks used to identify the Carl's Jr. System, including the principal Proprietary Marks, may be modified by CJR from time to time.
- C. CJR continues to develop, use and control the use of these Proprietary Marks in order to identify for the public the source of services and products marketed under the Proprietary Marks, the Carl's Jr. System, and to represent the Carl's Jr. System's high standards of quality, appearance and service.

What This Means (2025 FDD)
According to the 2025 Carls Jr. Franchise Disclosure Document, the 'Carl's Jr. System' is a unique and distinctive system developed and owned by CJR (Carl's Jr. Restaurants LLC) relating to the development, establishment, and operation of quick-service restaurants known as 'Carl's Jr. Restaurants.' This system is identified through various proprietary marks such as trade names, trademarks, service marks, trade dress, logos, insignias, slogans, emblems, symbols, designs, and other indicators of source, all of which CJR owns and may modify over time.
The FDD emphasizes that CJR maintains control over these proprietary marks to ensure consistent quality, appearance, and service standards associated with the Carl's Jr. brand. As a franchisee, you acknowledge that CJR owns all rights to the Carl's Jr. System, which includes trade secrets, confidential information, and know-how that provide a competitive advantage. This proprietary information is economically valuable to CJR because it is not generally known or easily discoverable by others, and CJR takes measures to protect its confidentiality.
As a franchisee, you gain no ownership interest in the Carl's Jr. System but are granted the right to develop franchised restaurants within a specific territory, subject to strict adherence to the franchise agreement and development guide. You are obligated to maintain the confidentiality of the Carl's Jr. System, disclosing it only to employees who need to know and ensuring they also keep it confidential. Unauthorized use or duplication of the Carl's Jr. System in any other business would be considered unfair competition, potentially leading to legal remedies, including injunctive relief, for CJR.
