Carls Franchise · 2024 FDD

Answer from 2024 FDD Document

On April 1, 2013, in connection with a financing transaction, CKE assigned to us all existing franchise agreements ("Franchise Agreements") and development agreements ("Development Agreements") governing franchised Carl's Jr. Restaurants so that we could expand and administer the Carl's Jr. System (through new franchises and other

means) and, pursuant to a Contribution Agreement, CKE contributed to us its ownership of the "Carl's Jr." trade names, service marks and other trademarks that are associated with the Carl's Jr. System and we were assigned ownership of the "Green Burrito" trade names, service marks and other trademarks that are associated with the GB Dual Concept System (collectively, "Proprietary Marks").

What This Means (2024 FDD)

According to the 2024 FDD, Carls Jr. Restaurants LLC owns the "Carl's Jr." trade names, service marks, and other trademarks associated with the Carl's Jr. System. In addition, Carls was assigned ownership of the "Green Burrito" trade names, service marks, and other trademarks associated with the GB Dual Concept System. These marks are collectively referred to as "Proprietary Marks" in the FDD.

This means that as a franchisee, you are granted the right to use these Proprietary Marks to operate your Carl's Jr. restaurant. These marks are essential for branding and creating customer recognition. The agreement ensures that Carls maintains control over its brand identity and protects its trademarks, while allowing franchisees to benefit from the established brand reputation.

It is important for prospective franchisees to understand the terms and conditions surrounding the use of these Proprietary Marks, as detailed in the franchise agreement. This includes adhering to Carls' standards for marketing, advertising, and overall brand presentation to maintain consistency across all Carl's Jr. locations. Franchisees should also be aware of any restrictions on using the marks outside the scope of the franchise agreement.
