What This Means (2024 FDD)
According to Carls's 2024 Franchise Disclosure Document, franchisees are explicitly prohibited from reproducing the Operations Procedures Manual (OPM) or any part of it. The OPM contains detailed standards, specifications, instructions, requirements, methods, and procedures for the management and operation of the franchised restaurant. It covers various aspects, including product selection, preparation, employee training, marketing, maintenance, and business systems.
The franchise agreement requires franchisees to maintain the OPM at the restaurant and treat it as confidential and proprietary information. Disclosure of the OPM's contents is restricted to employees who have a need to know the information for their job functions. This restriction is in place to protect Carls's trade secrets and maintain consistency across all franchise locations.
This policy is typical in franchising, as the operations manual contains the franchisor's confidential and proprietary methods. Unauthorized reproduction or distribution of the OPM could compromise the brand's competitive advantage and consistency. Franchisees should ensure they understand and adhere to this restriction to avoid violating the franchise agreement.
