What This Means (2024 FDD)
According to Carls's 2024 Franchise Disclosure Document, upon termination or expiration of the franchise agreement, the franchisee has specific obligations regarding the Operations Procedure Manual (OPM) and other materials provided by Carls. The franchisee must promptly return the OPM, including any copies, and all other materials and information furnished by Carls. This includes deleting all electronic copies of the OPM and any other materials and information from Carls that are in the franchisee's possession.
In addition to the OPM, the franchisee is also required to return, in good condition and repair (excepting normal wear and tear), all computer software, disks, tapes, and other electronic and magnetic storage media provided by Carls. This ensures that all confidential and proprietary information remains with Carls after the franchise agreement ends.
These requirements are standard in franchising to protect the franchisor's intellectual property and trade secrets. By mandating the return and deletion of all materials, Carls aims to prevent former franchisees from using the confidential information to compete with the brand or share it with others. Franchisees should be aware of these obligations and ensure they comply fully upon termination or expiration to avoid potential legal issues.
