Carls Franchise · 2024 FDD

Answer from 2024 FDD Document

We own the copyright in all of our advertising and marketing materials including, but not limited to, images, copy, radio, and television commercials, and social media posts, the OPM and certain forms, architectural, engineering and construction plans, advertising materials, product specifications, computer programs, newsletters, training materials, and operations and accounting materials. While we do not commonly register our materials protected by copyright with the United States Registrar of Copyrights, we may seek registration for these materials at any time.

What This Means (2024 FDD)

According to the 2024 FDD, Carls owns the copyright to its advertising and marketing materials, including images, copy, radio and television commercials, social media posts, the OPM (presumably Operations Procedure Manual), certain forms, architectural, engineering and construction plans, advertising materials, product specifications, computer programs, newsletters, training materials, and operations and accounting materials. However, Carls does not commonly register these copyright-protected materials with the United States Registrar of Copyrights.

While Carls does not typically register its copyrighted materials, it retains the option to seek registration for these materials at any time. This means that while franchisees are granted access to these materials, Carls retains full ownership and control over their use and distribution.

For a prospective franchisee, this implies that they must adhere strictly to the guidelines and standards set forth in the franchise agreement and operations manual regarding the use of these copyrighted materials. Unauthorized use or modification of these materials could lead to legal repercussions. It would be prudent for a potential franchisee to discuss with Carls the specific circumstances under which copyright registration might be pursued and what implications this could have for franchisees.
