You will not acquire any interest in any proprietary and confidential information we may communicate to you, other than the right to utilize it in the operation of your franchised business during the term of your franchise agreement. The information is disclosed to you solely on the condition that you (1) will not use it in any other business or capacity; (2) will maintain the absolute confidentiality of the information during and after the term of your franchise agreement; (3) will not make unauthorized copies of any portion of the operations manual or any other written communication from us; and (4) will adopt and implement all reasonable procedures we may require to prevent unauthorized use or disclosure of the information, including restrictions on disclosure of the information to employees of

What This Means (2025 FDD)
According to Caring Transitions' 2025 Franchise Disclosure Document, franchisees do not acquire ownership of the proprietary and confidential information. Instead, they are granted a limited right to use this information solely for operating their franchised business during the term of the Franchise Agreement. This proprietary information, disclosed in the operations manual, training seminars, and ongoing guidance, includes pricing methods, management techniques, proposals, forms, specifications, procedures, knowledge, and expertise that gives Caring Transitions a competitive advantage.
Specifically, Caring Transitions franchisees are permitted to utilize the confidential information to operate their franchise. However, this right is conditional. Franchisees must not use the information in any other business or capacity, and they must maintain absolute confidentiality both during and after the franchise agreement term. They are also prohibited from making unauthorized copies of the operations manual or any other written communication from Caring Transitions.
To protect this information, Caring Transitions franchisees must implement reasonable procedures to prevent unauthorized use or disclosure, including restricting disclosure to employees. Upon the termination of the franchise agreement, the franchisee’s right to use the proprietary information ceases, and all materials must be returned to Caring Transitions. This ensures that the competitive advantage remains with Caring Transitions and its franchise system.
