Does Caring Transitions have the right to access a franchisee's Communication and Information System?

- 7.4 Fixtures and Furnishings. Franchisee, at its own expense, shall purchase and install, the Communication and Information System as specified in Section 7.15 below, and all fixtures, furnishings, signs, and other equipment as may be specified by the System Standards from time to time; and shall not permit the installation of any fixtures, furnishings, signs, or other equipment not conforming to the System Standards.
- 7.5 Supplier Approval. Franchisor has the right to require Franchisee to purchase all goods and services used in the franchised business solely from suppliers designated by Franchisor, which may include Franchisor or an affiliate. Franchisor has the right to condition its approval of any supplier upon benefits to Franchisor and/or its affiliates based upon purchases by Caring Transitions franchisees.

What This Means (2025 FDD)
According to the 2025 Caring Transitions Franchise Disclosure Document, franchisees are required to purchase and install a Communication and Information System as specified by Caring Transitions. While the FDD states that franchisees must purchase and install this system, it does not explicitly state that Caring Transitions has the right to access it.
However, the FDD does state that Caring Transitions has the right to control all aspects of any website it establishes, including design, content, functionality, links, legal notices, policies, and terms of usage. Additionally, Caring Transitions can discontinue the operation of any website at any time based on its business judgment. Franchisees must use all websites relating to the franchised business required by Caring Transitions.
Given the franchisor's broad rights over websites and the requirement that franchisees use franchisor-required websites, it is highly probable that Caring Transitions would have access to and control over the Communication and Information System, especially if it is integrated with the franchisee's website or other online platforms. A prospective franchisee should seek clarification from Caring Transitions regarding the specifics of access and control over the Communication and Information System to fully understand the franchisor's rights and the franchisee's obligations.
