What This Means (2025 FDD)

According to Caring Transitions' 2025 Franchise Disclosure Document, franchisees must adhere to several procedures to protect confidential information. Franchisees must treat the operations manual and all information within it as confidential and proprietary, using all reasonable efforts to keep it secret. They must also ensure their employees maintain the confidentiality of this information. Copying, duplicating, recording, or making the manual available to any unauthorized person without Caring Transitions' prior written consent is prohibited. Franchisees must also adopt and implement all reasonable procedures that Caring Transitions may require to prevent unauthorized use or disclosure of confidential information, including restricting disclosure to employees. Franchisees are responsible for applying and maintaining security measures on personal devices used by them, their employees, or agents. They must also adhere to good security practices to safeguard user accounts, such as creating unique passwords and educating themselves on phishing and spam avoidance.

These measures are crucial for maintaining the integrity of the Caring Transitions system and protecting its competitive advantage. The FDD emphasizes that Caring Transitions has developed distinctive systems, including pricing methods, management techniques, and specialized forms, which are considered proprietary and confidential. Unauthorized use or disclosure of this information could harm Caring Transitions' reputation and competitive position.

Furthermore, the franchise agreement requires franchisees and their covenantors (such as owners, managers, and guarantors) to acknowledge the proprietary nature of Caring Transitions' trade secrets, including the operations manual, sales and marketing methods, pricing techniques, customer lists, and procedures for efficient franchise operation. These trade secrets must be used solely for the franchisee's benefit, and covenantors are prohibited from communicating, divulging, or using them for the benefit of any other person or entity, both during and after the term of the franchise agreement. Franchisees are also prohibited from participating in any internet group or website that aims to denigrate Caring Transitions or its system.

In summary, a Caring Transitions franchisee must take a multi-faceted approach to safeguarding confidential information, encompassing physical security, digital security, employee training, and adherence to the terms of the franchise agreement. These procedures are designed to protect Caring Transitions' valuable intellectual property and maintain a consistent brand experience across all franchise locations.
