If a Cooperative for the geographical area in which the franchised business is located has already been established when Franchisee opens the franchised business, then Franchisee shall immediately become a member of the Cooperative under the terms of its governing documents.

If a Cooperative for the geographical area in which the franchised business is located is established during the term of this agreement, Franchisee shall immediately become a member of the Cooperative, and take all steps necessary to become a member.

In no event shall Franchisee be required to be a member of more than one Cooperative for the franchised business established under this agreement.

What This Means (2025 FDD)

According to Caring Transitions' 2025 Franchise Disclosure Document, Caring Transitions retains ownership of copyrights and trademarks for materials developed by a franchisee. Specifically, any copyrights to contracts, forms, advertising, marketing, promotional, public relations, or sales concepts, plans, programs, activities, or materials proposed or developed by a franchisee that are used in the franchised business or bear any of Caring Transitions' marks become the sole property of Caring Transitions. The franchisee is required to execute documents to ensure this transfer of ownership.

This means that while a franchisee may come up with an innovative marketing campaign or a new form that improves business operations, the legal rights to those creations belong to Caring Transitions. The franchisee may use materials they develop if Caring Transitions approves them, but Caring Transitions and other franchisees can also use these materials without compensating the originating franchisee.

This policy is common in franchising, as it allows the franchisor to maintain brand consistency and leverage successful ideas across the entire franchise system. However, it also means that franchisees do not retain intellectual property rights to their creations, even if those creations significantly benefit the Caring Transitions system. Franchisees should be aware of this when developing new materials and understand that their use is subject to Caring Transitions' approval and control.

In addition, if a franchisee develops any improvements or additions to the Caring Transitions system, these improvements must be disclosed to Caring Transitions and can be used by Caring Transitions and other franchisees without any obligation to compensate the franchisee. The franchisee must assign all rights to these improvements to Caring Transitions. This includes improvements to services, products, methods of operation, or any advertising or promotion ideas related to the Caring Transitions franchise.
