What This Means (2025 FDD)

According to Caring Transitions's 2025 Franchise Disclosure Document, a franchisee is considered a 'related company' within the meaning of U.S. trademark law (15 U.S.C. § 1127). This means that the franchisee's use of Caring Transitions's trademarks (the "Marks") benefits the franchisor.

In practical terms, this designation reinforces that Caring Transitions retains ultimate control over its brand and trademarks. While franchisees are granted the right to use the Marks to operate their franchised business, this use is strictly defined and controlled by the franchise agreement and the Caring Transitions manual. The franchisee's use of the Marks must adhere to Caring Transitions's standards and specifications.

This arrangement ensures that the goodwill associated with the Caring Transitions brand inures exclusively to the benefit of the franchisor. Upon termination of the franchise agreement, no monetary value is assigned to any goodwill the franchisee may have built through their use of the Caring Transitions system or Marks. This is a common practice in franchising, as it protects the franchisor's intellectual property and brand reputation.
