- 11.10. Copyright to Advertising. Franchisee acknowledges and agrees that any and all copyrights in and to contracts, forms, advertising, marketing, promotional public relations, or sales concepts, plans, programs, activities, or materials proposed or developed by or on behalf of Franchisee that are used in the Franchised Business or that bear any of the Marks will be the sole property of Franchisor, and Franchisee shall execute such documents (and, if necessary, require its independent contractors to execute such documents) as may be deemed reasonably necessary by Franchisor to give effect to this provision. Any such materials proposed or developed by Franchisee for the franchised business or the System and approved by Franchisor may be used by Franchisor and other Caring Transitions franchisees without compensation to Franchisee.

What This Means (2025 FDD)
According to Caring Transitions' 2025 Franchise Disclosure Document, if a franchisee develops any advertising, marketing, promotional, public relations, or sales concepts, plans, programs, activities, or materials used in the franchised business or bearing Caring Transitions' marks, the franchisee must execute documents deemed reasonably necessary by Caring Transitions to ensure that all copyrights in these materials become the sole property of Caring Transitions. If independent contractors are involved in developing these materials, the franchisee must also ensure that these contractors execute similar documents.
This requirement means that while a franchisee may contribute creative ideas and materials to the Caring Transitions system, Caring Transitions retains ownership of those materials. The franchisee gives up all rights to the materials they develop. This is a fairly standard practice in franchising, as it allows the franchisor to maintain brand consistency and control over marketing and advertising efforts across the entire franchise system.
Caring Transitions may use any materials proposed or developed by the franchisee for the franchised business or the Caring Transitions system without providing any compensation to the franchisee. However, Caring Transitions will authorize the franchisee to use any Improvement developed by Caring Transitions or another Caring Transitions franchisee that Caring Transitions makes part of the System.
