What This Means (2025 FDD)

According to Caring Transitions's 2025 Franchise Disclosure Document, a franchisee may be asked to provide a release and covenant not to sue as partial consideration in certain situations. Specifically, if a franchisee requests Caring Transitions to take a certain action or agree to a specific request, Caring Transitions has the right to obtain a general release from the franchisee (and their owners, if applicable) as a condition of fulfilling that request.

In this context, the franchisee's willingness to provide the release and covenant not to sue serves as partial consideration for Caring Transitions's agreement to the franchisee's request. This means the franchisee agrees to release Caring Transitions from any past, present, or future claims related to the Franchise Agreement or the relationship between the franchisee and Caring Transitions. The franchisee also agrees not to initiate any lawsuits against Caring Transitions based on these released claims.

This arrangement protects Caring Transitions from potential legal action related to past conduct or the specific action or request the franchisee is making. For a prospective franchisee, this highlights the importance of carefully considering any requests they might make that could trigger this release requirement, as it could limit their future legal options against Caring Transitions. It is also important to note that this release does not extend to claims or liabilities arising under the Maryland Franchise Registration and Disclosure Law.
