Territory.

You may not make any sales or provide services to clients located outside of your Protected Territory, unless the client is located in an area where there is not another Caring Senior Service® Business in operation or you have the other franchisee's permission to provide services to clients in its territory and you have provided us a copy of such permission in writing prior to providing services to such franchisee's clients. If that area is subsequently sold to a new franchisee in the System, we may require that you cease servicing the clients in that area and that you transfer all client information to the new franchisee. We may, however, in our sole discretion, allow you to continue to provide services to some or all of your established clients in the area sold to the new franchisee. At any time during the term of this Agreement, may request

from you, and you must provide us with, a list of these clients including the information we specify. Any noncompliance with the terms of this paragraph is a material breach under this Agreement.

If we engage in electronic commerce through any Internet, World Wide Web or other computer network site or sell through any other alternative distribution channel, and we receive requests for the Services or any other products or services offered by a Caring Senior Service Business calling for delivery or performance in your Protected Territory, then we will offer the request to you.

Furthermore, Caring Senior Service retains control over requests for services generated through electronic commerce or alternative distribution channels. If Caring Senior Service receives a request for services within a franchisee's protected territory through these channels, they will offer the request to the franchisee. However, if the franchisee declines or is unable to fulfill the request, Caring Senior Service, its affiliates, or a designated third party can fulfill the order without compensating the franchisee. This highlights the franchisor's control over certain service requests and the potential for Caring Senior Service to direct business to other parties, even within a franchisee's territory.

Prospective franchisees should consider these provisions carefully, as they affect the scope of their operational control and revenue potential. It would be prudent to discuss with Caring Senior Service their typical practices regarding client transitions when new franchises are awarded and the criteria they use to determine whether an existing franchisee can continue serving clients in a newly franchised area.
