What obligations do Caring Senior Service franchisees have regarding innovations to the system?

Should you, or anyone affiliated with you, develop any innovations, ideas, products or discoveries related to Caring Senior Service Businesses or any of the concepts, products or anything else associated with them, you shall advise us promptly of the innovation, idea, product or discovery. We have sole discretion over the decision to implement such innovation, idea, product or discovery. You shall not use such innovation, idea, product or discovery without prior authorization from us.
All innovations, ideas, products and discoveries developed or used in connection with the System or with the Businesses shall become our property, whether developed by us, by you, an affiliate of yours, or any other franchisee, and the developer shall assign such innovation, idea, product and/or discovery to us. We shall not be obligated to provide payment or reward to you, any affiliate of yours or any franchisee in the System if any innovation, idea, product or discovery is developed by any such person, whether or not implemented into the System.

What This Means (2025 FDD)
According to Caring Senior Service's 2025 Franchise Disclosure Document, franchisees have specific obligations regarding any innovations, ideas, products, or discoveries related to the Caring Senior Service business. Franchisees must promptly inform Caring Senior Service of any such developments.
Caring Senior Service retains sole discretion over whether to implement any innovation, idea, product, or discovery. Franchisees are prohibited from using any such innovation without prior authorization from Caring Senior Service. This means a franchisee cannot independently introduce or benefit from their own innovations without the franchisor's approval.
All innovations, ideas, products, and discoveries developed or used in connection with the Caring Senior Service system become the property of Caring Senior Service. The developer, whether it's the franchisor, a franchisee, or an affiliate, must assign the innovation to Caring Senior Service. Importantly, Caring Senior Service is not obligated to provide any payment or reward to the franchisee or affiliate who developed the innovation, even if it is implemented into the system. This underscores that while franchisees are encouraged to contribute to the system's improvement, Caring Senior Service ultimately owns and controls all intellectual property and has no obligation to compensate franchisees for their contributions.
