4.4 Modifications to Business
We reserve the right to change the design of "Caring Senior Service" Businesses, their format, color, trade dress, signage, commercial symbols, décor, products, services and all other aspects of "Caring Senior Service" Businesses and their operations at any time in our reasonable business judgment in order to meet competition, to attempt to enhance the business of "Caring Senior Service" Businesses, or to improve their appearance. If we make any of these changes, you agree to comply with such changes in the manner and within the time frames specified by us. We agree and affirm that none of these changes will require you to perform any major remodeling or redecoration of the Business more often than once every five (5) years. All changes made to your Business shall be at your sole cost and expense.
ARTICLE 5
FEES AND REPORTING
5.1 Initial Franchise Fee
In consideration of the grant of this franchise, you shall pay to us a non-recurring initial franchise fee for the franchise hereunder in an amount equal to Forty-Nine Thousand Dollars ($49,000), unless this amount is otherwise amended in Exhibit A of this Agreement. The initial franchise fee shall be deemed to have been fully earned by us upon execution of this Agreement and is not refundable.
5.2 Royalty Fee
You agree to pay us a non-refundable royalty ("Royalty Fee") equal to five percent (5%) of your Gross Billings or the Minimum Royalty Fee, whichever amount is higher, payable every two (2) weeks as described in subparagraph (c) below.
- (a) As used herein, the term "Minimum Royalty Fee" equals $150 for each two-week period in which Gross Billings are calculated during your first six months of operation and, afterwards, 5% of the applicable Gross Billings Target for each two-week period in which Gross Billings are calculated and as set forth in Section 9.3.

According to the 2025 Caring Senior Service Franchise Disclosure Document, franchisees must strictly adhere to all standards, specifications, processes, procedures, requirements, and reasonable instructions set by Caring Senior Service regarding the operation of the business. This obligation applies whether these standards currently exist or are established in the future.
Caring Senior Service retains the right to modify various aspects of the business, including the design, format, color, trade dress, signage, commercial symbols, décor, products, services, and operations, at any time based on reasonable business judgment. These changes may be implemented to meet competition, enhance business, or improve appearance. Franchisees are obligated to comply with these changes within the specified time frames, and all associated costs are the franchisee's responsibility. However, Caring Senior Service affirms that major remodeling or redecoration will not be required more often than once every five years.
To maintain uniformity and quality control, Caring Senior Service has established minimum quality standards and specifications for all facets of the franchise, including equipment, signage, layout design, décor, fixtures, inventory supplies, and advertising materials. All information regarding these standards and specifications is detailed in the Confidential Operations Manual, which is incorporated into the Franchise Agreement by reference. Franchisees must comply with all provisions outlined in the manual, and Caring Senior Service may modify these standards and specifications at any time. The franchisee is responsible for purchasing all products, materials, and supplies from distributors and suppliers approved by Caring Senior Service.
