Should you, or anyone affiliated with you, develop any innovations, ideas, products or discoveries related to Caring Senior Service Businesses or any of the concepts, products or anything else associated with them, you shall advise us promptly of the innovation, idea, product or discovery. We have sole discretion over the decision to implement such innovation, idea, product or discovery. You shall not use such innovation, idea, product or discovery without prior authorization from us.

All innovations, ideas, products and discoveries developed or used in connection with the System or with the Businesses shall become our property, whether developed by us, by you, an affiliate of yours, or any other franchisee, and the developer shall assign such innovation, idea, product and/or discovery to us. We shall not be obligated to provide payment or reward to you, any affiliate of yours or any franchisee in the System if any innovation, idea, product or discovery is developed by any such person, whether or not implemented into the System.

9.3 Minimum Performance Criteria

To maintain your rights to the Territory and the Franchised Business, you must meet the following minimum performance criteria:

What This Means (2025 FDD)

According to the 2025 Caring Senior Service FDD, franchisees must meet certain minimum performance criteria to maintain their rights to the territory and the franchised business. Additionally, if a franchisee or someone affiliated with them develops any innovations, ideas, products, or discoveries related to Caring Senior Service Businesses, they must promptly advise Caring Senior Service of the innovation. Caring Senior Service has sole discretion over the decision to implement such innovation, and the franchisee cannot use it without prior authorization.

All innovations, ideas, products, and discoveries developed or used in connection with the Caring Senior Service system or with the businesses become the property of Caring Senior Service, whether developed by Caring Senior Service, the franchisee, an affiliate, or any other franchisee. The developer must assign such innovation to Caring Senior Service, and Caring Senior Service is not obligated to provide payment or reward to the franchisee or any affiliate if any innovation is developed.

Furthermore, franchisees must operate each of their existing Caring Senior Service Franchised Businesses and be capable of conducting the operation of proposed additional Caring Senior Service franchised businesses in accordance with the terms and conditions of the respective franchise agreements and the standards, specifications, and procedures set forth and described in the Confidential Operations Manual. Franchisees must also satisfy Caring Senior Service's then-current financial criteria for franchisees and owners of Caring Senior Service franchised businesses and achieve certain minimum performance benchmarks set by Caring Senior Service in the Confidential Operations Manual for multi-Territory franchisees to ensure a certain level of market penetration prior to expansion.
