What This Means (2025 FDD)

According to the 2025 Caring Senior Service Franchise Disclosure Document, the Franchise Agreement can be effective without the Development Addendum. Several excerpts from the FDD discuss the Franchise Agreement and addenda as separate documents that can exist independently.

Specifically, the Conversion Addendum to the Caring Senior Service Franchise Agreement is described as being attached to and made a part of the Franchise Agreement, implying the Franchise Agreement exists independently. Similarly, the Development Addendum is referred to as an addendum to the Franchise Agreement, suggesting the base agreement stands on its own. The document also states that all provisions of the Franchise Agreement remain in full force and effect, even with the existence of an addendum.

Furthermore, the FDD outlines scenarios where the Development Addendum can be terminated without explicitly stating that it would impact the underlying Franchise Agreement. This separation suggests that franchisees can enter into a standard Franchise Agreement without necessarily committing to a Development Addendum, and the terms of the initial agreement would still be valid and enforceable.
