ISE AGREEMENT
| This Conversion Addendum to the Caring Senior Service Franchise Agreement ("Addendum"), dated as | |

| the Caring Senior Service Franchise Agreement ("Franchise Agreement"), by and between Caring Senior | |
| Service Franchise Partnership, L.P., a Texas limited liability company having its principal business offices | |
| located at 201 East Park Avenue, San Antonio, Texas 78212 and doing business as Caring Senior Service | |
| ("Franchisor"), and, a/an, having its principal | |
| business office located at ("Franchisee" or "you"), for the | |
| purpose of modifying and amending the terms of such Franchise Agreement. |
BACKGROUND
- A. Prior to the Effective Date, Franchisee operated an independent non-medical residential assistance and care business ("Prior Business").
- B. As a special allowance for Franchisee to convert its Prior Business into a CARING SENIOR SERVICE franchised business and thereby join the Caring Senior Service System, Franchisor has offered Franchisee the financial incentives contained within this Addendum.
AGREEMENT
NOW, THEREFORE, in consideration of the above recitals and the agreements contained in this Addendum, Franchisor and Franchisee agree as follows:

- All capitalized terms herein which are not separately defined herein shall have the meanings ascribed to such terms in the Franchise Agreement.

- In the event of a conflict between the terms of the Franchise Agreement and the terms of this Addendum, the terms of this Addendum shall control.

- Except as specifically modified by this Addendum, all terms of the Franchise Agreement are in full force and effect.

What This Means (2025 FDD)
According to the 2025 Caring Senior Service Franchise Disclosure Document, the Conversion Addendum modifies and amends the terms of the existing Caring Senior Service Franchise Agreement. The addendum is made between Caring Senior Service Franchise Partnership, L.P., identified as the Franchisor, and the franchisee.
The recitals section of the addendum indicates that the franchisee previously operated an independent non-medical residential assistance and care business. As a special allowance for the franchisee to convert their prior business into a Caring Senior Service franchised business, the franchisor is offering financial incentives within the addendum.
Furthermore, the addendum states that it, along with the Franchise Agreement, constitutes the entire agreement between the parties regarding the subject matter and can only be modified or amended through a written agreement signed by both parties. The terms of the addendum are non-transferrable. If there is a conflict between the addendum and the Franchise Agreement, the provisions in the addendum will take precedence.
