What This Means (2024 FDD)
According to Care Plus Medical Ucc's 2024 Franchise Disclosure Document, Care Plus Medical Ucc does not need the franchisee's consent to undergo a change in ownership. Specifically, Care Plus Medical Ucc can transfer or assign the Franchise Agreement, or its rights and obligations, to any person or entity without the franchisee's consent. Care Plus Medical Ucc can also undergo a change in ownership and/or control without the franchisee's consent.
This clause in the franchise agreement means that a prospective Care Plus Medical Ucc franchisee has no control over who ultimately owns or controls the Care Plus Medical Ucc franchise system. The franchisee cannot prevent Care Plus Medical Ucc from selling the company to a private equity firm, a competitor, or any other entity. This is a standard clause in many franchise agreements, as it allows the franchisor flexibility in managing its business and planning for succession or exit strategies.
While this lack of control might seem unfavorable to the franchisee, it's important to recognize that the franchisee's primary relationship is with the Care Plus Medical Ucc brand and the franchise system itself. A change in ownership does not necessarily mean a change in the way the franchise operates. However, a new owner could implement changes to the system, which may or may not be beneficial to the franchisee. Therefore, it is important for a prospective franchisee to consider the long-term vision and stability of Care Plus Medical Ucc when making their investment decision.
