ARTICLE 1. DEFINITIONS
- "Action" means any action, suit, proceeding, claim, demand, governmental investigation, governmental inquiry, judgment or appeal thereof, whether formal or informal.
- "Approved Vendor" means a supplier, vendor, or distributor of Inputs which has been approved by Care Plus Medical UCC.
- "Business" means the Care Plus Medical business owned by Franchisee and operated under this Agreement.
- "Competitor" means any business which offers products or services the same or similar as the franchise brand.
- "Confidential Information" means all non-public information of or about the System, Care Plus Medical UCC, and any Care Plus Medical business, including all methods for developing and operating the Business, and all non-public plans, data, financial information, processes, vendor pricing, supply systems, marketing systems, formulas, techniques, designs, layouts, operating procedures, customer data, information and know-how.
- "Gross Sales" means the total dollar amount of all sales generated through the Business for a given period, including, but not limited to, payment for any services or products sold by Franchisee, whether for cash or credit. Gross Sales does not include (i) bona fide refunds to customers, (ii) sales taxes collected by Franchisee, (iii) sales of used equipment not in the ordinary course of business, or (iv) sales of prepaid cards or similar products (but the redemption of any such card or product will be included in Gross Sales).
- "Input" means any goods, services, supplies, fixtures, equipment, inventory, computer hardware and software, real estate, or comparable items related to establishing or operating the Business.
- "Location" means the location stated on the Location Acceptance Letter.

According to Care Plus Medical Ucc's 2024 Franchise Disclosure Document, an 'Input' refers to any goods, services, supplies, fixtures, equipment, inventory, computer hardware and software, real estate, or comparable items related to establishing or operating the Business.
Care Plus Medical Ucc maintains control over the sources of these inputs. Franchisees are required to acquire all inputs in accordance with the System Standards, and Care Plus Medical Ucc may require franchisees to purchase or lease inputs from specific sources such as Care Plus Medical UCC, its designees, Required Vendors, or Approved Vendors. These requirements and vendor statuses can be changed by Care Plus Medical UCC, with changes communicated through System Standards.
If a franchisee wishes to purchase a particular input from a vendor not already approved, they must submit a written request for approval, including any information, specifications, or samples requested by Care Plus Medical UCC. The approval may be conditional, considering factors such as the vendor's capacity, quality, financial stability, reputation, and reliability. Care Plus Medical UCC will provide written notification of approval or disapproval within 30 days of receiving the franchisee's request. Similarly, if a franchisee wants to purchase an alternative to a required input, they must also seek approval from Care Plus Medical UCC, who will then provide a decision within 30 days.
