What This Means (2024 FDD)
According to Care Plus Medical Ucc's 2024 Franchise Disclosure Document, the obligation to maintain the confidentiality of information survives the termination or expiration of the Franchise Agreement indefinitely. Franchisees must continue to adhere to all procedures prescribed by Care Plus Medical Ucc for maintaining confidentiality, even after the agreement ends. This includes not disclosing confidential information to employees except when necessary for business operation, and not using the information in any other business without written authorization from Care Plus Medical Ucc. Franchisees must also exercise diligence to protect this information.
This indefinite obligation means that a former Care Plus Medical Ucc franchisee cannot use any confidential information learned during their time as a franchisee to compete with Care Plus Medical Ucc, start a similar business, or work for a competitor. This extends to customer data, which is considered Confidential Information owned exclusively by Care Plus Medical Ucc. The franchisee must also report any unauthorized disclosure or use of confidential information, even after the franchise agreement has ended.
This is a standard practice in franchising, as franchisors need to protect their trade secrets, operational methods, and customer information. The indefinite survival of confidentiality obligations is designed to ensure that franchisees do not exploit the franchisor's proprietary information for their own benefit after the franchise relationship ends. Prospective franchisees should carefully consider the scope of confidential information and the implications of this ongoing obligation.
