What This Means (2024 FDD)

According to Care Plus Medical Ucc's 2024 Franchise Disclosure Document, the Guarantor provides an unconditional guarantee to Care Plus Medical UCC and its successors and assigns. This guarantee ensures that the Franchisee will pay and perform every undertaking, agreement, and covenant outlined in the Franchise Agreement. Furthermore, the Guarantor guarantees every other liability and obligation of the Franchisee to Care Plus Medical UCC, regardless of whether it is specifically mentioned in the Franchise Agreement.

This means that the Guarantor is essentially acting as a financial backstop for the Franchisee. If the Franchisee fails to meet their financial or contractual obligations to Care Plus Medical UCC, the Guarantor is responsible for fulfilling those obligations. This could include paying outstanding fees, covering damages, or ensuring compliance with the terms of the Franchise Agreement. Care Plus Medical UCC can demand payment or performance directly from the Guarantor.

The Guarantor also waives several rights, including the right to require Care Plus Medical UCC to first pursue action against the Franchisee before seeking recourse from the Guarantor. They also waive rights to notices of acceptance, demands for payment, and defenses related to the Franchisee's non-performance. This underscores the comprehensive and unconditional nature of the guarantee, placing significant responsibility on the Guarantor.

For a prospective Care Plus Medical Ucc franchisee, this highlights the importance of carefully selecting a Guarantor who is financially stable and fully aware of the obligations they are undertaking. The Guarantor should have a thorough understanding of the Franchise Agreement and the potential liabilities they could be responsible for. This arrangement is common in franchising, as it provides the franchisor with an added layer of financial security.
