What This Means (2024 FDD)
According to the 2024 Care Plus Medical Ucc Franchise Disclosure Document, a franchisee's obligation to pay fees and amounts owed to Care Plus Medical Ucc is not dependent on Care Plus Medical Ucc's performance. The agreement specifies that the franchisee's payment obligations are independent covenants, meaning the franchisee must make all payments without any deductions or offsets, regardless of Care Plus Medical Ucc's actions or performance. This is a fairly standard clause in franchise agreements.
This clause means that even if the franchisee believes Care Plus Medical Ucc is not fulfilling its obligations under the franchise agreement (such as providing adequate support or marketing), the franchisee is still required to pay all royalties, marketing fees, and other amounts owed. Failure to do so could result in penalties, interest charges, or even termination of the franchise agreement.
This independence of payment obligations is a significant point for prospective franchisees to consider. It highlights the importance of carefully evaluating Care Plus Medical Ucc's reputation and track record before investing in a franchise. Franchisees need to be confident in Care Plus Medical Ucc's ability to deliver on its promises, as withholding payments is not an option even if the franchisee is dissatisfied with Care Plus Medical Ucc's performance. Franchisees should seek legal counsel to fully understand the implications of this clause and other terms of the franchise agreement before signing.
