What This Means (2024 FDD)

According to Care Plus Medical UCC's 2024 Franchise Disclosure Document, franchisees are obligated to disclose all innovations related to the business to Care Plus Medical UCC. These innovations include any ideas, plans, improvements, concepts, methods, and techniques conceived or developed by the franchisee, its employees, agents, or contractors.

Care Plus Medical UCC will automatically own all such innovations and has the right to incorporate them into the Care Plus Medical UCC system without providing any compensation to the franchisee. The franchisee is further required to execute any documents reasonably requested by Care Plus Medical UCC to formally document Care Plus Medical UCC's ownership of these innovations.

This clause means that any improvements or new ideas a franchisee develops for the Care Plus Medical UCC business become the property of the franchisor. While this benefits Care Plus Medical UCC by allowing them to improve the overall system, it means the franchisee will not receive any direct financial or proprietary benefit from their innovations.

Prospective franchisees should consider this when evaluating the franchise agreement, as it could impact their motivation to innovate and improve the business if they cannot directly benefit from their ideas. It is a fairly common practice in franchising for the franchisor to own any intellectual property developed related to the brand and system.
