What This Means (2024 FDD)
According to Care Plus Medical Ucc's 2024 Franchise Disclosure Document, the franchise is granted for a specific location. Care Plus Medical UCC grants the franchisee the right to operate a Care Plus Medical business solely at the Location. The franchise agreement states that the franchisee must develop, open, and operate a Care Plus Medical business at the Location for the entire term of the agreement. If no location is specified on the Summary Page when the agreement is signed, the parties will determine the location according to Section 6.1 of the agreement.
Section 6.1 outlines the process for determining the location and territory. The franchisee is responsible for finding a potential location within the Development Area and submitting it to Care Plus Medical UCC for acceptance. Care Plus Medical UCC has 30 days to either accept or reject the proposed location in writing. If Care Plus Medical UCC accepts the location, they will issue a Location Acceptance Letter, which states the Location and Territory.
The Territory is determined by Care Plus Medical UCC in its good faith discretion, substantially in accordance with Item 12 of the Franchise Disclosure Document. If Care Plus Medical UCC fails to state the Territory in writing within 60 days after the franchisee opens the business to the public, the Territory will be deemed to be the zip code where the location is operated from and the zip codes which immediately surround the location of the franchised business and together add up to 100,000 population. The FDD also states that Care Plus Medical UCC's advice regarding or acceptance of a site is not a representation or warranty that the Business will be successful, and Care Plus Medical UCC has no liability to Franchisee with respect to the location of the Business.
This process is typical in the franchise industry, where franchisors often retain approval rights over site selection to ensure brand consistency and optimize the chances of success. However, the franchisee bears the ultimate responsibility for the location's performance. Prospective franchisees should carefully research potential locations and understand that Care Plus Medical UCC's approval does not guarantee profitability.
