What This Means (2024 FDD)
According to the 2024 Care Plus Medical Ucc Franchise Disclosure Document, the franchise is granted for a specific location. Article 2.1 of the franchise agreement states that Care Plus Medical UCC grants the franchisee the right to operate a Care Plus Medical business solely at the Location. The agreement also specifies that if no location is stated on the Summary Page when the agreement is signed, the parties will determine the location in accordance with Section 6.1. The franchisee is obligated to develop, open, and operate a Care Plus Medical business at the agreed-upon location for the entire term of the agreement.
Determining the location involves the franchisee finding a potential location within the Development Area and submitting it to Care Plus Medical UCC for acceptance. Care Plus Medical UCC has 30 days to either accept or reject the proposed location in writing. Upon acceptance of the location, Care Plus Medical UCC will issue a Location Acceptance Letter, which states both the Location and the Territory. The territory is determined by Care Plus Medical UCC in its good faith discretion, substantially in accordance with Item 12 of the Franchise Disclosure Document.
If Care Plus Medical UCC fails to define the Territory in writing within 60 days after the franchisee opens the business to the public, the territory will default to the zip code where the location is operated from, along with the immediately surrounding zip codes, encompassing a total population of 100,000. However, Care Plus Medical UCC explicitly states that its advice or acceptance of a site does not constitute a representation or warranty of the business's success, and Care Plus Medical UCC assumes no liability regarding the location of the business.
Prospective franchisees should note that the lease terms, including renewals, must be no shorter than the term of the Franchise Agreement. Care Plus Medical UCC may also require the franchisee to submit the proposed lease for written approval and to obtain the landlord's signature on a rider to the lease in a form required by Care Plus Medical UCC. Franchisees are also responsible for constructing or remodeling the location to meet Care Plus Medical UCC's System Standards, potentially requiring the engagement of a licensed architect.
