What This Means (2024 FDD)

According to the 2024 Care Plus Medical Ucc Franchise Disclosure Document, Care Plus Medical Ucc maintains exclusive control over any legal actions related to potential copyright infringement concerning its marks. This means that Care Plus Medical Ucc has the sole authority to initiate or defend against any claims related to the infringement of its trademarks.

For a prospective franchisee, this is significant because it clarifies that they do not have the right to independently pursue legal action to protect the Care Plus Medical Ucc marks. Instead, franchisees are obligated to promptly inform Care Plus Medical Ucc of any suspected infringement. Care Plus Medical Ucc then decides whether to take legal action.

This arrangement centralizes brand protection with the franchisor, which is a common practice in franchising. It ensures consistent legal strategy and avoids franchisees pursuing conflicting or uncoordinated actions. However, it also means that franchisees must rely on Care Plus Medical Ucc to protect the brand's intellectual property, and they bear the risk if Care Plus Medical Ucc chooses not to act on a particular infringement.

The FDD also states that if the franchisee has used the marks correctly, Care Plus Medical Ucc will defend the franchisee against any third-party action alleging infringement due to the franchisee's use of a mark. Care Plus Medical Ucc will also indemnify the franchisee for expenses and damages if the action is resolved unfavorably to the franchisee.
