What This Means (2024 FDD)

According to Care Plus Medical Ucc's 2024 Franchise Disclosure Document, the franchise agreement represents the complete understanding between Care Plus Medical Ucc and the franchisee, superseding any prior discussions or representations. However, the franchise agreement does not disclaim any representations made by Care Plus Medical Ucc in its franchise disclosure document. This means that while the agreement itself is the final contract, the franchisee can still rely on the information provided in the FDD as part of the overall understanding.

This clause is standard in franchise agreements to ensure clarity and prevent disputes based on previous conversations or drafts. It essentially says, "What's written in this agreement is what counts." However, the explicit mention that the agreement doesn't disclaim the FDD is important for franchisees. It means Care Plus Medical Ucc cannot later argue that information in the FDD is not binding, even if it's not repeated in the franchise agreement.

Any modifications to the agreement must be in writing and signed by both Care Plus Medical Ucc and the franchisee to be effective. This protects both parties by preventing informal or verbal changes that could be easily misunderstood or disputed. However, this provision does not limit Care Plus Medical UCC's rights to modify the Manual or System Standards.

Prospective franchisees should carefully review both the franchise agreement and the FDD to ensure they understand all the terms and conditions. They should also seek legal counsel to advise them on their rights and obligations under both documents.
