What This Means (2024 FDD)
According to Care Plus Medical Ucc's 2024 Franchise Disclosure Document, the company does not have an advertising council composed of franchisees. The franchise agreement also does not grant Care Plus Medical Ucc the power to form such a council. This means that franchisees do not have direct input into the franchisor's advertising strategies or how marketing funds are spent at the corporate level.
Care Plus Medical Ucc does, however, reserve the right to require franchisees to participate in local or regional advertising cooperatives. In such cooperatives, each franchisee would have one vote per outlet, unless they are in default of their franchise agreement. The contribution amount to the cooperative would be determined by the members' vote, set between 1% and 5% of gross sales. Care Plus Medical Ucc's own outlets, if members, must contribute and vote on the same basis as franchisees.
Care Plus Medical Ucc will administer these cooperatives but can delegate this responsibility to an outside company or the franchisee members. The franchisor can also require the cooperative to operate from written bylaws. Care Plus Medical Ucc also requires franchisees to contribute 1% of gross sales per week to a Marketing Fund, which the franchisor administers. The franchisor can set different contribution amounts or rates for different franchisees, and outlets owned by Care Plus Medical Ucc are not obligated to contribute to the Marketing Fund. This fund is not audited, but unaudited annual financial statements are available to franchisees upon request.
