What This Means (2024 FDD)
According to the 2024 Care Plus Medical Ucc Franchise Disclosure Document, the guarantor is waiving specific acceptances related to the Guaranty. The guarantor waives acceptance and notice of acceptance by Care Plus Medical UCC of the Guaranty itself. This means Care Plus Medical UCC doesn't need to formally accept the guaranty or notify the guarantor of its acceptance for the guaranty to be effective.
Additionally, the guarantor waives notice of demand for payment of any indebtedness or nonperformance of any obligations of the franchisee. This implies that Care Plus Medical UCC is not obligated to inform the guarantor about the franchisee's failure to pay or fulfill their obligations before seeking recourse from the guarantor. The guarantor also waives protest and notice of default to any party regarding the guaranteed indebtedness or nonperformance.
Furthermore, the guarantor relinquishes any right to require Care Plus Medical UCC to first pursue action against the franchisee or any other entity before holding the guarantor liable. They also waive all rights to payments and claims for reimbursement or subrogation against the franchisee arising from their performance under the Guaranty. This indicates the guarantor cannot seek compensation from the franchisee for payments made under the guaranty. Finally, the guarantor waives any legal requirement for Care Plus Medical UCC to demand payment from, assert claims against, or collect from the franchisee or any other person before taking action against the guarantor. The guarantor also waives any and all other notices and legal or equitable defenses to which the Guarantor may be entitled.
