the Card My Yard business or having any material effect upon the ongoing operation of the Card My Yard business.
"Manual" or "Manuals" means our confidential operations manual, which may consist of one or more manuals, containing our mandatory and suggested standards, specifications and operating procedures relating to the development and operation of Card My Yard businesses and your obligations under this Agreement. The term also includes alternative or supplemental means of communicating information to you, including bulletins, videotapes, audio tapes, compact discs, computer diskettes, CD ROMs and electronic communications.
"Marketing Fund" or "Fund" means the marketing fund described in Section IX.C. of this Agreement.
"Marks" means the trade names, trademarks, service marks, logos, emblems and other indicia of origin that we have designated, and may hereafter designate, in writing for use in connection with theSystem, including, but not limited to, the mark "Card My Yard."
"Net Proceeds" as used herein, has the meaning assigned in Section V.D of this Agreement.
"Opening Date" means the date the Card My Yard business first opens for business to the public.
"Owners" mean those persons and entities which, collectively and individually, hold an ownership interest in you and in any entity directly or indirectly controlling you.
"Payment Processing System" as used herein, has the meaning assigned in Section V.C of this Agreement.
"Principal Owner" means the Owner designated by you and approved by us as meeting our qualifications who is responsible for overseeing the day-to-day operation of the Card My Yard business.
"Protected Area" means the geographic area assigned to you upon your acquisition of the Franchise Location and described on Exhibit C, within which you will be afforded the protections described in Section II.B. of this Agreement.

According to Card My Yard's 2025 Franchise Disclosure Document, the 'Manuals' are defined as the confidential operations manual, which may consist of one or more manuals. These manuals contain the mandatory and suggested standards, specifications, and operating procedures for developing and operating a Card My Yard business, as well as outlining the franchisee's obligations under the Franchise Agreement. The term 'Manuals' also includes alternative or supplemental means of communicating information, such as bulletins, videotapes, audio tapes, compact discs, computer diskettes, CD ROMs, and electronic communications.
The Card My Yard franchisee must operate their business in full conformity with the methods, standards, and specifications detailed in the Manuals and any other written directives provided by Card My Yard. This includes selling or offering for sale all required products and services using the prescribed methods and distribution manners. Franchisees are also required to install and use only the equipment expressly approved in the Manuals or otherwise in writing by Card My Yard.
The Manuals are Card My Yard's property and are provided in electronic format. Franchisees must return the Manuals upon request or when the Franchise Agreement expires or terminates. Franchisees and their owners must maintain the Manuals and their contents as confidential. Access to the Manuals is restricted to those owners and employees who need the information to operate the Card My Yard business. Franchisees are prohibited from printing, copying, duplicating, recording, or reproducing the Manuals, in whole or in part, or making them available to any unauthorized person. The franchisee must keep the Manuals in a secure place at the Card My Yard business and comply with any additions or modifications made to the Manuals, ensuring their copy remains current. In case of a dispute, the terms of the master copy at Card My Yard's offices will control.
