Franchise Agreement
You must operate the Franchised Business only from your home or another location approved by us in writing within the agreed upon "Protected Area" set forth in Exhibit C of the Franchise Agreement (the "Protected Area"). We anticipate that most franchisees will operate their Franchised Business from their personal residence (provided that such residence must be located within the franchisee's Protected Area), but you may also propose other locations for your Franchised Business, provided that any proposed location will be subject to our review and approval or rejection as described in the Franchise Agreement. In any event, the location to be used for your Franchised Business must not violate applicable zoning laws or restrictions.
If you remain in compliance with the Franchise Agreement and any other agreements you have with us or our affiliates, we and our affiliates will not establish, or authorize anyone except you to establish, a Card My Yard business in your Protected Area during the term of the Franchise Agreement. The Protected Area boundaries will be agreed upon by you and us and will be defined by zip codes. We anticipate that the Protected Area for most franchise locations will consist of one or more contiguous zip codes and include a population of no lessthan 30,000.
The determination of the zip codes to be included in your Protected Area will be made on a case-by-case basis based on various factors, including (i) the population in the surrounding area; (ii) driving distance within the Protected Area; (iii) proximity to franchisee's location; and (iv) proximity to residential areas, businesses and other potential customer sources. The Protected Area will be described in Exhibit C of the Franchise Agreement.
If the U.S. Postal Service modifies one or more of the zip codes comprising any part of your Protected Area then your Protected Area boundaries under your franchise agreement will be automatically modified to match the
revised zip code boundaries established by the U.S. Postal Service. In such event, your revised Protected Area may include fewer people and/or a smaller geographic area than before, and you will not be entitled to any compensation as a result of such modification.
You will not receive an exclusive territory. You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control.

What This Means (2025 FDD)
According to Card My Yard's 2025 Franchise Disclosure Document, a franchisee must operate the franchised business from their home or another location approved in writing by Card My Yard within the agreed-upon Protected Area, as detailed in Exhibit C of the Franchise Agreement. Card My Yard anticipates that most franchisees will operate from their personal residence, provided it is within the franchisee's Protected Area. However, franchisees can propose other locations, subject to Card My Yard's review and approval. The chosen location must comply with all applicable zoning laws and restrictions.
If a franchisee chooses to operate from a location other than their home, they must select a site within a non-exclusive Designated Search Area, which is agreed upon and identified in Exhibit C of the Franchise Agreement. If operating from home, there is no need to identify a Designated Search Area. The franchisee does not have exclusivity within the Designated Search Area, only the right to propose a site. Once a site is approved or the franchisee confirms they will operate from home, Card My Yard grants a Protected Area around the site.
The franchisee cannot relocate the Card My Yard business without Card My Yard's consent. Consent is typically granted only if the business is home-based and the franchisee moves to a new residence within their existing Protected Area. A relocation request must be submitted as soon as possible, but no later than 10 days after discovering the need to relocate. This policy ensures that Card My Yard maintains control over the location of its franchises and protects the territorial rights of other franchisees.
