What This Means (2025 FDD)
Based on the 2025 Franchise Disclosure Document, the provided excerpts do not specify the effects of a reorganization of the Franchisee under the Guaranty for Carbones Pizzeria. The Guaranty agreement included as Exhibit C pertains to the guarantor's obligations regarding the franchisee's debts and performance. It stipulates that the guarantor remains bound by the Franchise Agreement as if they were the franchisee.
However, the excerpts do not detail how events like a franchisee's reorganization would impact the Guaranty. A reorganization could involve changes in ownership, business structure, or financial status, which could potentially affect the enforceability or applicability of the Guaranty.
Therefore, a prospective Carbones Pizzeria franchisee should seek clarification from the franchisor regarding the specific implications of a reorganization on the Guaranty. This would include understanding whether the Guaranty remains in effect, whether new guarantors are required, and how the franchisor would assess the financial stability of the reorganized entity.
