What This Means (2025 FDD)

According to the 2025 Carbones Pizzeria Franchise Disclosure Document, the non-compete agreement extends to the franchisee, their owners, and employees regarding the use of Confidential Information. Specifically, the franchisee agrees that neither they, nor their owners or employees, will use any Confidential Information, directly or indirectly, except as necessary for the proper operation of the franchise under the agreement. This restriction applies at all times during the agreement.

Confidential Information is defined as all business plans and methods developed by Carbones Pizzeria and its affiliates for operating a restaurant under the brand's name and marks. This includes the Secret Recipes, other recipes, standards, specifications, methods, procedures, techniques, sourcing, technology, and management systems, as well as all information contained in the Operations Manual, which may be updated by Carbones Pizzeria.

The agreement also states that any breach of the section regarding Secret Recipes will cause irreparable harm to Carbones Pizzeria. As a result, Carbones Pizzeria may seek injunctive relief against the franchisee and any of the franchisee's owners, officers, directors, shareholders, partners, joint venturers, affiliates, agents, employees, or former agents or employees to prevent unauthorized disclosure and damages.
