What This Means (2025 FDD)

According to Carbones Pizzeria's 2025 Franchise Disclosure Document, if a franchisee seeks to transfer their interest in the franchise, the franchisor has the right of first refusal. If Carbones Pizzeria chooses not to exercise this option, the franchisee can proceed with the transfer, but only if they obtain the franchisor's prior written consent.

However, Carbones Pizzeria can reasonably withhold consent if certain conditions aren't met. One of these conditions is that "Franchisor must be satisfied that the prospective purchaser has sufficient business qualifications and will comply with Franchisor's then current training requirements".

In practical terms, this means that if the person or entity looking to buy an existing Carbones Pizzeria franchise doesn't have the business experience or isn't willing to complete the required training, Carbones Pizzeria can block the sale. This protects the brand by ensuring that all franchisees meet a certain standard of competence and are properly trained in the Carbone System. Prospective franchisees should carefully consider these requirements and ensure they can meet them before attempting to purchase a franchise from an existing franchisee.
