What This Means (2025 FDD)

According to the 2025 Carbones Pizzeria Franchise Disclosure Document, the franchise agreement explicitly states that nothing within the agreement is intended to disclaim any representations made by Carbones Pizzeria in the Franchise Disclosure Document (FDD) that was furnished to the franchisee. This means that Carbones Pizzeria acknowledges the importance and validity of the information provided in the FDD.

For a prospective franchisee, this is a beneficial clause. It ensures that Carbones Pizzeria cannot later deny or contradict any statements, promises, or representations made within the FDD. The FDD serves as an important document outlining the terms, conditions, and expectations of the franchise relationship, and this clause reinforces its reliability.

This type of clause is not always standard in franchise agreements. Some franchisors may attempt to disclaim or limit their liability for statements made in the FDD. Therefore, the inclusion of this provision in the Carbones Pizzeria franchise agreement can provide a level of assurance to the franchisee regarding the accuracy and enforceability of the information presented in the FDD. Franchisees should still carefully review the entire FDD and franchise agreement with legal counsel to fully understand their rights and obligations.
