Attached to this Disclosure Document as Exhibit A-1 are the audited consolidated financial statements of our parent company, Hyatt Hotels Corporation, as of December 31, 2024 and 2023 and for the fiscal years ended December 31, 2024, 2023, and 2022, and attached as Exhibit A-2 is the Form 8-K filed with the United States Securities and Exchange Commission on March 26, 2025.
Hyatt Hotels Corporation absolutely and unconditionally guarantees the performance of our obligations to franchisees under the Franchise Agreement. The Guarantee of Performance also is included in Exhibit A-1.

According to Caption By Hyatt's 2025 Franchise Disclosure Document, the Guarantee of Performance, which outlines Hyatt Hotels Corporation's commitment to fulfill the obligations of Hyatt Franchising, L.L.C. to its franchisees, can be found in Exhibit A-1 of the FDD. This guarantee ensures that Hyatt Hotels Corporation will assume the duties and obligations of Hyatt Franchising, L.L.C. under the franchise registration in each state where the franchise is registered and under the Franchise Agreement.
The guarantee remains in effect until all obligations of Hyatt Franchising, L.L.C. under its franchise registrations and the Franchise Agreement are satisfied or until the liability of Hyatt Franchising, L.L.C. to its franchisees under the Franchise Agreement has been completely discharged, whichever occurs first. The guarantee specifies that Hyatt Hotels Corporation will not be released from liability if a franchisee's claim against Hyatt Franchising, L.L.C. remains outstanding.
The document indicates that notice of acceptance of the guarantee is waived, although Hyatt Hotels Corporation does not waive receipt of notice of default on the part of Hyatt Franchising, L.L.C..
