What This Means (2025 FDD)

According to the 2025 FDD, the Virginia Addendum to the Canopy Lawn Care Franchise Disclosure Document does not modify the entire Franchise Agreement. Instead, it applies to the extent that the Virginia Retail Franchising Act applies. Furthermore, the addendum states that except as expressly modified by the addendum itself, the Franchise Agreement remains unmodified and in full force and effect.

For a prospective Canopy Lawn Care franchisee in Virginia, this means that the standard Franchise Agreement is generally applicable, but certain provisions are superseded or clarified by the Virginia Addendum to comply with Virginia law. One specific example provided in the addendum relates to termination upon bankruptcy, where the addendum notes that such provisions may not be enforceable under federal bankruptcy law.

This approach of using addenda to address state-specific laws is common in franchising. It allows Canopy Lawn Care to maintain a relatively uniform Franchise Agreement while ensuring compliance with varying state regulations. Franchisees should carefully review both the Franchise Agreement and the Virginia Addendum to understand their rights and obligations in full. If there is any conflict between the addendum and the Franchise Agreement, the terms of the addendum will take precedence.
