Should such other Canopy® franchise agreement cease to be valid, binding and in full force and effect for any reason then Franchisor may, at its option terminate this Agreement and this

  • 3.1 This Agreement and the License granted shall continue for a period of ten years ("Initial Term"). This Initial Term shall begin on the date this Agreement is executed by Franchisor, subject, however, to termination in accordance with the provisions of this Agreement.

  • 3.3 Franchisee's failure to give timely notice of Franchisee's intention to extend its rights to operate the Lawn Care Business, as described in Section 3.1(d) shall be deemed an election not to extend Franchisee's rights to operate the Lawn Care Business.

IN FRANCHISOR'S SOLE DETERMINATION,

FRANCHISEE MAY BE DEEMED TO HAVE IRREVOCABLY DECLINED TO EXTEND FRANCHISEE'S RIGHTS TO OPERATE THE LAWN CARE BUSINESS (AND ITS OPTION SHALL THEREUPON TERMINATE) IF IT FAILS TO EXECUTE AND RETURN TO FRANCHISOR THE SUCCESSOR FRANCHISE AGREEMENT AND OTHER DOCUMENTS REQUIRED BY FRANCHISOR WITHIN 30 DAYS AFTER THEIR DELIVERY TO FRANCHISEE, OR FAILS TO COMPLY IN ANY OTHER WAY WITH THE PROVISIONS OF THIS SECTION 3.

What This Means (2025 FDD)

According to Canopy Lawn Care's 2025 Franchise Disclosure Document, if a franchisee has another Canopy Lawn Care franchise agreement and that agreement ceases to be valid, binding, and in full force and effect for any reason, then Canopy Lawn Care has the option to terminate the current agreement. If Canopy Lawn Care chooses to terminate the agreement, the franchisee must surrender the agreement immediately.

Additionally, the agreement and license granted to a Canopy Lawn Care franchisee will last for an initial term of ten years, beginning on the date the agreement is executed by the franchisor. However, this is subject to termination in accordance with the provisions of the agreement.

Furthermore, if a Canopy Lawn Care franchisee fails to provide timely notice of their intention to extend their rights to operate the lawn care business, as described in Section 3.1(d), it will be deemed an election not to extend those rights. Canopy Lawn Care may also determine that a franchisee has irrevocably declined to extend their rights if they fail to execute and return the successor franchise agreement and other required documents within 30 days after delivery or fail to comply with the provisions of Section 3.
