Under what conditions can Canopy Lawn Care unilaterally modify its standards and specifications in the manual?

Franchisee shall operate the Business strictly in accordance with the required specifications and standards identified in the Manual. Failure to comply with the required standards set forth in the Manual shall constitute a material breach of this Agreement. Franchisor reserves the right to provide the Manual and updates to the Manual in electronic form or other form determined by Franchisor. Franchisor shall have the right to modify the Manual from time to time to reflect changes in authorized Products and Services, business image or the operation of the Business. Some of the revisions to the Manual may include changes with respect to: (i) sales and marketing strategies; (ii) equipment and supplies; (iii) accounting and reporting systems and forms; (iv) insurance requirements; (v) operating procedures; (vi) required technology; (vii) Services; and (viii) Products.

What This Means (2025 FDD)
According to Canopy Lawn Care's 2025 Franchise Disclosure Document, Canopy Lawn Care has the right to modify its confidential operating manual from time to time. These modifications can reflect changes in authorized products and services, the business image, or the operation of the business. This means that as a franchisee, you must stay updated with any changes Canopy Lawn Care makes to the manual.
The revisions to the manual may include changes to sales and marketing strategies, equipment and supplies, accounting and reporting systems and forms, insurance requirements, operating procedures, required technology, services, and products. As a franchisee, you are obligated to accept, implement, and adopt any such modifications at your own cost, except as provided in Section 8.5 of the agreement.
Canopy Lawn Care can provide the manual and updates in electronic form or any other form they determine. Franchisees are required to keep their manuals updated with replacement pages and insertions as instructed by Canopy Lawn Care. Failure to comply with the required standards outlined in the manual constitutes a material breach of the franchise agreement.
